BEIJING – February 17, 2009 – ChinaEdu Corporation (NASDAQ: CEDU) ("ChinaEdu" or "the Company"), a leading educational services provider in China, announced that it will hold an Extraordinary General Meeting of Shareholders on Friday, March 06, 2009 at 10:00 a.m. local time in its Beijing headquarters, located at 4th Floor-A, GeHua Building, Qinglong Hutong No.1, Dongcheng District, Beijing, China 100007. Shareholders of record at the close of business on January 28, 2009 will be entitled to receive notice of and to vote at the meeting or by proxy.
At the Extraordinary General Meeting, shareholders will be asked to vote to approve certain amendments to the Company’s Equity Incentive Plan (the “Plan”), which will, among other things, provide for the administration of the Plan by the Compensation Committee of the Board of Directors, delegate to the Compensation Committee the authority to amend or modify outstanding awards under the Plan, including the exercise price and Fair Market Value of options, interpreting the Plan, correcting any inconsistency in the Plan, making all other decisions relating to operation of the Plan and eliminating the requirement that subsequent amendments to the Plan be submitted for shareholder approval.
